These Terms of Service ("Terms") govern your purchase and use of underwriting services from TU12 LLC, doing business as Landwrit ("Landwrit," "we," "us"). By purchasing a Landwrit product or submitting deal documents, you agree to these Terms.
1. The service
Landwrit produces written underwriting analyses ("files") of RV park and manufactured-housing-community transactions, based entirely on documents and figures you provide. Products:
- Deal Screen — a summary analysis of a single deal as stated, delivered by email.
- Landwrit Underwriting File (including the Founding Cohort File — the founding-cohort offer of the same product) — a complete underwriting file of a single deal, delivered by email as a PDF.
Every figure in a Landwrit file is produced by deterministic arithmetic on the inputs you provide, and every file is reviewed by a person before delivery.
2. What the service is not
A Landwrit file is analytical work product. It is not an appraisal and is not investment, legal, tax, accounting, or brokerage advice. Landwrit is not a licensed appraiser, broker-dealer, investment adviser, attorney, or accountant, and nothing in a file is a recommendation to buy, sell, lend, or transact. You are solely responsible for your own decisions and for independent verification of every input and output.
3. Your documents and inputs ("GIGO")
Our analysis relies entirely on the documents and figures you provide. We reconcile figures against the source records you supply and mark what we could not verify, but we do not independently audit, appraise, or investigate the property, the seller, or any counterparty. If your inputs are wrong or incomplete, the analysis will be too.
4. Turnaround
Delivery windows — 24 hours for a Deal Screen, 48 hours for an underwriting file — are measured from the time your document set is complete, as confirmed by us in writing (email suffices). Turnaround times are service targets, not guaranteed deadlines; if we anticipate missing one, we will tell you promptly.
5. Deal Screen credit
The price of a Deal Screen may be credited once toward the purchase of a full Landwrit Underwriting File for the same deal only. Credits do not apply to any other deal, do not stack, and have no cash value.
6. Founding Cohort
Founding Cohort pricing applies to Landwrit's first ten (10) underwriting files across all clients — not ten per client. Availability is confirmed when you order; once the cohort is filled, the offer is retired and the standard Landwrit Underwriting File price applies. A Founding Cohort File is the same product as the Landwrit Underwriting File in every respect other than price, and includes the direct email access described in §8.
7. Revisions
Each underwriting file includes one revision within 14 days of delivery if your inputs change (for example, an updated term sheet, corrected rent roll, or revised trailing-12). A revision is a fresh engine run on the corrected inputs: the revised file carries its own Report ID, and Landwrit's registry records it as superseding the original file's Report ID, so either document can later be verified — and told apart — by email. Further revisions, or a materially different deal structure, are a new engagement.
8. Included support
Every engagement includes email follow-up for questions about the delivered file. Founding-cohort engagements additionally include direct email access for questions on your file for the life of the engagement.
9. Refunds
You may cancel for a full refund at any time before you submit your deal documents. Once documents are submitted, work begins; once the file is delivered, the fee is earned and no refund is due. If we fail to deliver at all, you receive a full refund.
10. Limitation of liability
To the maximum extent permitted by law, Landwrit's total aggregate liability arising out of or relating to any file or engagement is limited to the fees you actually paid for that engagement. In no event is Landwrit liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost opportunities, or investment losses, even if advised of the possibility.
11. Document handling and retention
We retain your submitted documents and the produced file for three (3) years from delivery (to support revisions, file verification, and recordkeeping), after which they are deleted in the ordinary course. You may request earlier deletion of your documents once your engagement is complete. See the Privacy Policy for details on data handling.
12. Intellectual property
You retain all rights in the documents you submit. Upon full payment, you receive the delivered file for your own business use, including sharing it with your lenders, partners, and advisers. Landwrit retains all rights in its methodology, engine, templates, and branding.
13. Acceptable use
You agree not to submit documents you have no right to share, not to present a Landwrit file as an appraisal or as the work of a licensed professional, and not to remove disclaimers, watermarks, or the Report ID from a file.
14. Governing law and venue
These Terms are governed by the laws of {{GOVERNING_LAW_AND_VENUE — TO BE COMPLETED BY ATTORNEY}}, without regard to conflict-of-law rules, and disputes shall be resolved in the courts of that jurisdiction.
15. Changes
We may update these Terms; the version in force when you purchase governs that engagement. Material changes will be posted on this page with a new "last updated" date.
